I'm new to upping items - what do I risk by upping it? Will the stats change, or only the defense?

Only the def, but it can sometimes be lower than the initial one.
Buuut, with the ED on it, will Vipermagi always get maximal def or not ?
Edit : got the answer, indeed, defense is rerolled when you up it.
